Scope of These Terms

This website is operated by Doyenne Advisory Group LLC (“Doyenne,” “we,” “us” or “our”). These Website Terms & Disclosures govern access to and use of this website and its content. Please also review our Privacy Policy, which describes how we handle personal information.

Advisory services are governed by a separate written engagement agreement. These website terms do not amend or replace any executed engagement or confidentiality agreement.

Informational Content & No Advisory Engagement

Content on this website—including articles, podcasts, commentary and other materials—is provided for general informational purposes. It is not advice tailored to your circumstances and should not be relied upon as a substitute for an appropriately scoped advisory engagement or advice from qualified legal, tax, accounting or other professionals.

Visiting this website, submitting an inquiry, receiving informational materials or participating in a preliminary discussion does not, by itself, establish an advisory engagement or authorize Doyenne to act on your behalf. An engagement requires a separate written agreement executed by the appropriate authorized parties.

Please do not submit confidential business documents or detailed transaction information through the public inquiry form. Any separate confidentiality agreement remains governed by its own terms.

Advisory Scope & Professional Boundaries

Doyenne provides M&A readiness, acquisition, selective sell-side, and restructuring and performance advisory services for privately held businesses and Family Offices, within the scope of a separately executed engagement agreement.

Doyenne does not offer capital raising, securities placement, investor solicitation or financing brokerage. Nothing on this website constitutes an offer to sell, or a solicitation of an offer to purchase, securities.

Legal, tax, auditing and other specialist professional services are provided by appropriately qualified independent professionals. Doyenne may assess the implications of specialist matters for business readiness or a transaction and coordinate authorized workstreams, without assuming the specialist’s independent professional responsibilities.

Content Ownership & Permitted Use

Website content—including text, photographs, graphics, branding and other materials—is owned by Doyenne or used with permission, except where otherwise identified. Applicable intellectual property rights remain with their respective owners.

You may access and view the website for lawful informational purposes. Except as permitted by applicable law or expressly authorized in writing, you may not reproduce, republish, distribute, modify, sell or commercially exploit protected website materials. Copyright and other ownership notices must not be removed or altered.

Access to this website does not grant ownership of its content or permission to use Doyenne’s name, logo or proprietary methodologies. Rights to client deliverables are governed by the applicable engagement agreement.

Acceptable Website Use

You may use this website only for lawful purposes. You must not attempt to gain unauthorized access to its systems, bypass security or access restrictions, introduce malicious code, interfere with site operation, or submit knowingly false, misleading or unauthorized information.

You must not use the website to harvest personal information, send unsolicited communications through its forms, impersonate another person or organization, or infringe the rights of Doyenne or others.

Doyenne may restrict access or take appropriate action to protect the website, its users and its rights in response to misuse.

Accuracy, Availability & No Guarantee of Outcomes

Website content is provided on an “as is” and “as available” basis. Although we seek to present useful and accurate information, we do not warrant that all content is complete, current or free from error, or that the website will operate without interruption.

Market conditions, laws and business circumstances change. Content should be considered in its context and as of any stated publication date.

Descriptions of services, experience or past results do not guarantee a particular valuation, transaction, closing, readiness determination or business outcome. Responsibilities and any agreed performance standards for an engagement are governed by the applicable written agreement.

Website Liability Limitations

To the fullest extent permitted by applicable law, Doyenne will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages arising from access to, use of, or inability to use this website or reliance on its general informational content.

Nothing in these website terms excludes or limits liability that cannot lawfully be excluded or limited.

Liability arising from an advisory engagement is governed by the applicable executed engagement agreement. These website terms do not amend or replace its liability provisions.

Governing Law & Disputes

These Website Terms & Disclosures are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Subject to applicable law, court proceedings arising out of or relating to these website terms or use of this website shall be brought exclusively in the state courts located in Delaware or the United States District Court for the District of Delaware, as applicable.

Disputes arising from an advisory engagement remain governed by the dispute-resolution provisions of the applicable executed engagement agreement. Nothing in these website terms limits rights or protections that cannot lawfully be waived.

Updates & Severability

We may update these Website Terms & Disclosures from time to time. Revisions will be posted on this website with an updated effective date. Where required by applicable law, we will provide additional notice.

Updates to these website terms do not amend an executed engagement or confidentiality agreement. Amendments to those agreements remain subject to their own requirements.

If a provision of these website terms is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. Doyenne’s failure to enforce a provision on one occasion does not, by itself, waive its right to enforce that provision later.
